These Terms of Use govern your access to and use of Reach Trade, including our website, waitlist, content, tools, forms, communications, web application, API, MCP-related services, and related products and services.

In these Terms, “Reach Trade,” “we,” “us,” and “our” refer to Reach Trade and its applicable affiliates. “You” and “your” refer to any person who accesses or uses Reach Trade.

By accessing or using Reach Trade, you agree to these Terms.

If you do not agree, do not use Reach Trade.

1. Reach Trade Services

Reach Trade is a technology product designed to help eligible users access investment opportunities in supported markets.

Reach Trade may include:

  • Website and educational content
  • Waitlist and market interest forms
  • Investment discovery tools
  • Investor onboarding
  • Advisory-related tools and services
  • Web-based investing experience
  • API access
  • MCP or AI-supported access features
  • Market education and insights
  • Account and portfolio tools
  • Communications and support

Brokerage, execution, clearing, settlement, custody, FX, payments, identity verification, advisory, and local market access services, where available, may be provided by third-party regulated partners.

2. Relationship to Other Agreements

These Terms apply to your use of Reach Trade.

If you open an account with an advisory, brokerage, or custody partner, use API services, or access other regulated services, you may be required to agree to additional agreements.

Those agreements may include:

  • Advisory agreements with regulated partners
  • Brokerage account agreements
  • Custody agreements
  • Payment and funding agreements
  • Market data agreements
  • Electronic communications consent
  • API or developer terms
  • Risk disclosures
  • Fee schedules
  • Privacy notices

If these Terms conflict with a signed advisory, brokerage, custody, API, or partner agreement, the more specific agreement controls for that service.

3. Important Regulatory Disclosures

Reach Trade is not, by itself, a bank, broker-dealer, exchange, custodian, investment adviser, or tax adviser.

Investment advisory, brokerage, execution, clearing, settlement, custody, FX, payment, and local market access services, where available through Reach Trade, are provided by third-party regulated partners under separate agreements and disclosures.

4. No Offer or Solicitation

The information on Reach Trade is provided for informational and educational purposes only.

Nothing on Reach Trade is an offer, solicitation, recommendation, or advice to buy or sell any security, investment product, advisory service, brokerage service, or financial product in any jurisdiction where such offer, solicitation, recommendation, or service would be unlawful.

Joining the waitlist does not guarantee account approval, market access, product availability, investment availability, advisory services, brokerage services, or eligibility to use Reach Trade.

5. Eligibility

Reach Trade is available only to eligible users in supported jurisdictions.

You may not use Reach Trade if:

  • You are under 18
  • You are prohibited from using the services under applicable law
  • You are located in an unsupported jurisdiction
  • You are subject to sanctions or restrictions
  • Your account application is rejected
  • We or our partners cannot verify your identity
  • Use of the services would violate applicable law, regulation, or partner requirements

We may restrict, suspend, or terminate access at any time if required by law, regulation, compliance, partner requirements, or risk controls.

6. Waitlist

The Reach Trade waitlist allows users to express interest in future access.

Joining the waitlist does not create an advisory relationship, brokerage relationship, fiduciary relationship, client relationship, or guarantee of access.

We may prioritize access based on jurisdiction, market availability, regulatory requirements, partner availability, product readiness, compliance review, user eligibility, referral source, or other business factors.

7. Advisory Services

Reach Trade is not, by itself, a registered investment adviser. Investment advisory services, where provided through Reach Trade, are offered by a regulated advisory partner under a separate written advisory agreement.

Unless and until you enter into an advisory agreement with a regulated advisory partner, content available through Reach Trade is general and educational in nature and should not be treated as personalized investment advice.

Where investment advisory services are made available, the scope of those services may initially be limited to specific instrument types, such as publicly traded equities and ETFs, as described in the relevant partner’s required regulatory filings.

8. Brokerage, Custody, and Execution

Reach Trade does not provide brokerage, custody, clearing, settlement, exchange, or execution services.

Such services are provided by third-party regulated partners where available.

Orders, transactions, account opening, settlement, custody, FX, funding, and market access may be subject to third-party partner agreements, local market rules, regulatory approvals, eligibility requirements, fees, delays, restrictions, and rejections.

9. Investment Risk

All investing involves risk, including possible loss of principal.

Investments may lose value. Past performance does not guarantee future results.

Emerging and frontier market investments involve additional risks, including:

  • Currency risk
  • Liquidity risk
  • Political risk
  • Regulatory risk
  • Settlement risk
  • Custody risk
  • Exchange-control risk
  • Market-structure risk
  • Information availability risk
  • Tax risk
  • Volatility

These risks may be greater than risks associated with developed markets.

10. Online Trading and Technology Risk

Online investing involves risks related to:

  • System availability
  • Platform delays
  • Execution delays

  • Liquidity
  • Order routing
  • Exchange availability
  • Partner system performance
  • Device or user error
  • Cybersecurity events

We do not guarantee uninterrupted access, real-time execution, or error-free operation.

11. Market Data and Content

Reach Trade may display market data, company information, index information, historical returns, charts, calculators, articles, research, news, educational content, or third-party information.

This content is provided for informational and educational purposes only.

We do not guarantee that content is accurate, complete, current, or suitable for your needs.

Historical returns, calculator outputs, index comparisons, and examples are illustrative only and do not predict future results. They may not reflect FX costs, fees, taxes, spreads, liquidity limits, withholding taxes, settlement delays, or actual investor experience.

12. Fees and Costs

Fees and costs may apply depending on the services used.

These may include:

  • Advisory fees
  • Brokerage commissions

  • Spreads
  • Custody fees
  • Market charges
  • ETF expenses
  • Transfer fees
  • Payment fees
  • Taxes
  • Withholding taxes

Fees and costs reduce investment returns.

Applicable fees will be disclosed before account opening, advisory engagement, or transaction execution, as applicable.

13. Taxes

Reach Trade does not provide tax, legal, or accounting advice.

You are responsible for understanding tax obligations related to investments, dividends, capital gains, currency conversion, withholding taxes, cross-border activity, account ownership, and reporting.

You should consult your own tax, legal, and accounting advisers.

14. AI, Automation, API, and MCP Features

Reach Trade may include AI-supported, automated, API, or MCP-related features.

These features may assist with education, information retrieval, investment profile analysis, workflow automation, or product interaction.

AI, API, or MCP outputs may be incomplete, inaccurate, delayed, or unsuitable for your circumstances. You are responsible for reviewing outputs before relying on them.

Unless expressly agreed in writing, API, developer, and MCP access is provided for limited, revocable, non-transferable use and may be subject to separate developer terms.

You may not use API, MCP, or automation features to violate laws, bypass controls, manipulate markets, scrape data, overload systems, reverse engineer services, impersonate users, or conduct unauthorized trading.

15. Account Security

You are responsible for:

  • Providing accurate information
  • Updating outdated information
  • Protecting your login credentials
  • Securing your devices
  • Monitoring account activity
  • Promptly notifying us of suspected unauthorized access

We may require multi-factor authentication, identity verification, account review, or additional security measures.

16. Acceptable Use

You may not use Reach Trade to:

  • Violate any law or regulation
  • Provide false, misleading, or incomplete information
  • Impersonate another person
  • Circumvent eligibility, KYC, AML, sanctions, or compliance controls
  • Interfere with the platform
  • Reverse engineer or copy our systems
  • Scrape, crawl, or harvest data without permission
  • Use bots or automation without authorization
  • Upload malicious code
  • Attempt unauthorized access
  • Manipulate markets or facilitate unlawful trading
  • Resell services without written permission
  • Misuse API, MCP, or developer tools
  • Infringe our intellectual property or the rights of others

17. Intellectual Property

Reach Trade and related names, logos, designs, software, interfaces, content, documentation, APIs, data structures, models, workflows, and technology are owned by Reach Trade or its licensors.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use Reach Trade for your personal, lawful use, subject to these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from our services, software, content, or technology without written permission.

18. Third-Party Services

Reach Trade may rely on third-party partners, vendors, links, tools, data providers, broker-dealers, custodians, payment providers, identity verification providers, market access partners, and analytics providers.

We are not responsible for third-party services, websites, content, policies, performance, outages, fees, decisions, or errors.

Your use of third-party services may be governed by separate agreements and policies.

19. Promotions, Referrals, and Waitlist Benefits

We may offer promotions, referrals, waitlist priority, launch benefits, or other programs.

All such programs are subject to eligibility, availability, applicable terms, and legal review.

We may change, suspend, or terminate any promotion or referral program at any time.

No promotion should be interpreted as investment advice, a recommendation, or a guarantee of access or returns.

20. Electronic Communications

You consent to receive communications from us electronically, including by email, text message, website notice, platform notice, or other electronic means.

Electronic communications may include legal notices, disclosures, agreements, updates, marketing messages, account notices, security alerts, and support messages.

You may withdraw consent where permitted, but doing so may limit your ability to use Reach Trade.

21. Privacy

Your use of Reach Trade is subject to our Privacy Policy.

22. Disclaimers

Reach Trade is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

We do not guarantee that Reach Trade will be error-free, secure, uninterrupted, or available at all times.

We do not guarantee account approval, investment availability, market availability, execution, settlement, returns, or investment outcomes.

23. Limitation of Liability

To the fullest extent permitted by law, Reach Trade, its affiliates, officers, directors, employees, contractors, partners, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to your use of Reach Trade.

Nothing in these Terms limits liability that cannot be limited under applicable law.

24. Indemnification

You agree to indemnify, defend, and hold harmless Reach Trade, its affiliates, officers, directors, employees, contractors, partners, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

  • Your use of Reach Trade
  • Your violation of these Terms
  • Your violation of law
  • Your inaccurate or incomplete information
  • Your misuse of API, MCP, automation, or developer tools
  • Your infringement of third-party rights

25. Changes to Reach Trade

We may change, suspend, restrict, or discontinue any part of Reach Trade at any time, including features, supported markets, investment products, waitlist access, API access, MCP access, partner integrations, and eligibility criteria.

26. Changes to These Terms

We may update these Terms from time to time.

When we do, we will update the effective date. Your continued use of Reach Trade after updated Terms are posted means you accept the updated Terms.

27. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
